These Terms of Service ("Terms") govern your access to and use of The Upgrade Society ("TUS", "we", "us", or "our") website, membership programme, and related services. By accessing our website or submitting an application, you agree to be bound by these Terms.
1. Eligibility and Age Restriction
You must be at least 18 years of age to access, apply for, or use any services offered by The Upgrade Society. By submitting an application or using our services, you represent and warrant that you are 18 years of age or older. We do not knowingly collect information from or provide services to individuals under the age of 18.
2. Membership
TUS offers a private membership programme. Membership is by application only and is subject to approval at our sole discretion. Acceptance of an application does not constitute a guarantee of membership until payment has been received and confirmed.
Membership fees are non-refundable except as expressly stated in our refund policy. Founding member rates are locked for the duration of the founding cohort period as communicated at the time of acceptance.
3. SMS Messaging Programme
Programme Description: By opting in to SMS communications, you agree to receive text messages from The Upgrade Society. Messages may include application status updates, membership confirmations, time-sensitive member opportunities, and concierge service communications.
Message Frequency: Message frequency varies based on your application status and membership activity.
Message and Data Rates: Message and data rates may apply. Standard carrier rates apply to all SMS messages sent and received.
How to Opt Out: You may opt out of SMS communications at any time by replying STOP to any message you receive from us. After opting out, you will receive a single confirmation message. No further messages will be sent unless you re-subscribe.

Consent: Consent to receive SMS messages is not a condition of purchasing any goods or services. SMS opt-in is entirely optional.
4. Carrier Liability Disclaimer
Mobile carriers are not liable for delayed or undelivered messages. The Upgrade Society is not responsible for any delays or failures in SMS message delivery caused by your mobile carrier, network conditions, or any other factors outside of our control. Carrier message and data rates may apply to all SMS communications.
5. Concierge Services and Access
TUS provides access to a network of lifestyle, travel, and financial services through its concierge programme. All rates, availability, and access described are subject to change and are not guaranteed. Savings examples shown on our website reflect completed member transactions and individual results may vary based on route, season, availability, and personal circumstances.
TUS acts as an introducer and facilitator. We are not a licensed financial adviser, insurance broker, immigration consultant, or legal adviser. Any introductions to third-party service providers do not constitute professional advice. Members are responsible for conducting their own due diligence before entering into any transaction or agreement with a third party.
6. Intellectual Property
All content on this website, including text, images, logos, and design, is the property of The Upgrade Society and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our prior written consent.
7. Limitation of Liability
To the fullest extent permitted by law, The Upgrade Society shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services or website. Our total liability to you for any claim shall not exceed the amount you paid to us in the twelve months preceding the claim.
8. Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the courts of Delaware.
